General Terms and Conditions (GTC) of setoop
Terms of Use
1. General
a) GERABIA FZE, Ras Al Khaimah, United Arab Emirates - hereinafter referred to as setoop - operates a search engine and a price comparison platform for company setups and related services on the internet, including under the domain "setoop.com". Hereinafter referred to as the "Platform." Every internet user can access and use this platform.
b) The Platform is provided solely for personal and individual use by internet users. Any form of automated access or scraping of the Platform is not permitted. The use of tools that enable automated access and/or bypass the search forms of setoop is not allowed.
c) The use of the Platform is subject exclusively to the following General Terms and Conditions in their currently valid version at the respective time. Deviating conditions of the user are not recognized, unless setoop expressly agrees to their validity.
2. Use of the Platform
a) The use of the Platform as a search engine and price comparison for company setups and related services (hereinafter collectively referred to as "Service Providers") is open to every internet user. setoop does not charge any fees for using the Platform.
b) The displayed Service Provider price offers on the Platform are not offers from setoop. setoop merely compares the offers provided by third parties and presents them according to the user's search criteria on the Platform.
c) The prices displayed on the Platform are shown in the currency chosen by the internet user. If the internet user does not select a currency, the currency relevant for the respective top-level domain will be preselected. Conversion to the respective pre-set exchange rates will take place. If the set currency deviates from the exchange rates used on the third-party provider's website, conversion differences may occur.
e) All displayed prices are per item and include, where applicable, the statutory value-added tax.
3. Booking
a) Internet users have the option to make a booking of the respective Service Provider on the Platform. The offer is made with a total price, which includes, where applicable, the statutory value- added tax.
b) The contract for the purchase of an item is concluded exclusively with the respective Service Provider under the specified terms and conditions. A mere brokerage contract is concluded between the internet user and setoop, which involves the transmission of the internet user's declaration of intent to the respective third-party provider.
c) In the event of a purchase, setoop agrees to forward the necessary data of the internet user to the Service Provider. The submission of the purchase form by the internet user constitutes an acceptance of the offer and, at the same time, an offer by the internet user to enter into a contract for the purchase of the chosen item. After the data is transmitted, the third-party provider will accept the internet user's offer by means of a separate declaration.
d) After selecting a specific item by clicking the "Select" button, the internet user has the option to either log in via their existing setoop account or enter their personal data manually. At this stage, the internet user can view the selected item, as well as the terms and conditions of the third-party provider. The internet user also has the option to enter their credit card information. The charge to the credit card account is carried out by the third-party provider only after confirming the purchase. The internet user can correct any errors on this page before submitting their declaration of intent by changing the respective fields. The purchase can be canceled by clicking the browser's back button or closing the browser window. By clicking the "Buy Now" button, the internet user submits a binding offer to purchase the selected item
e) setoop will confirm the receipt of the declaration and the conclusion of the brokerage contract to the internet user via automatic acknowledgment by email. The Service Provider will also confirm the receipt of the offer by email immediately. The purchase of the internet user will be listed again in the confirmation and can be printed out by the internet user using the print function provided by their end device. The Service Provider will accept the internet user's offer by means of a separate declaration within 2 days. After that, the internet user is no longer bound to their declaration of intent.
f) The contract language of the brokerage contract is English.
4. Services and warranties of setoop
a) The offers displayed on the Platform are not offers from setoop. Regarding company setups and related services, setoop merely compares the offers provided by third parties and presents them on the Platform based on the user's search criteria and other factors determined by setoop.
b) In no case does setoop become a party to the contract for the purchase of an item. Claims arising from these contracts are to be made against the respective third-party providers.
c) The content provided by the service providers and its verification are the sole responsibility of the service providers. In particular, information on company setups, provider data, and the like are provided by the service providers to setoop and do not constitute a recommendation or information from setoop. As soon as setoop becomes aware of incorrect, incomplete, illegal, and/or otherwise impermissible content, such content will be corrected, deleted, and/or blocked, or corresponding measures will be taken with the service provider.
d) The information provided by the service providers is updated several times a day through automated processes. However, due to technical reasons, it is not possible to update the prices and availabilities communicated to us by the service providers in real-time.
5. Liability
There is no liability of setoop. This also applies to the personal liability of legal representatives, employees, and agents.

7. Dispute resolution
a) The European Commission has provided a platform for online dispute resolution, which can be accessed via the following link: http://ec.europa.eu/consumers/odr/
b) setoop is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
8. Final provisions
a) The law of the United Arab Emirates applies to contracts between setoop and the internet user.
b) If the internet user is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the internet user and setoop is the registered office of setoop.
